PLEASE READ THE TERMS AND CONDITIONS ("TERMS") CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. BY ACCESSING OR USING OUR APPLICATION (“APP”), YOU AGREE TO COMPLY WITH AND BE BOUND BY THESE TERMS.

For the purpose of these Terms wherever the context so requires “you”, “your” or “client” shall mean any natural or legal person who has agreed to become the user of our App. The term “we”, “us”, “our”, shall mean Aceraty, Inc.

• In order to access and use the App, you need to create an account (“Account”) on our App by complying with the registration formalities. You will be eligible to create an Account provided your minimum age should be 18 years and laws of your country should permit you to access and use our App.
• You will create an Account via following the manual account creation procedure stipulated by us or by using any permitted social media account (i.e facebook, gmail, yahoo etc.,). If you use any social media account to create the Account then you will grant us the access to such social media account to display and use certain information available on your social media account.
• Your access or use of our App will authorize us to collect and use your data and information in accordance with our Privacy Policy. You are strictly prohibited from sharing your Account with any third party or using any third party account without our express written permission. Use of the App in violation of these Terms will result in the suspension or termination of your Account in our sole discretion.

• You will able to access different types of the content on the App i.e your content (content that is shared, uploaded or provided by you on the App); others content (content that is shared, uploaded or provided by other Account users on the App); and our content (content that is displayed, uploaded, shared or provided by us on our App).
• In order to preserve the dignity and privacy of our users we are strictly prohibiting the uploading, sharing or  displaying of certain content which will contain language or pictures which could:
• Be pornographic, sexually explicit, obscene, indecent or offensive or contains a link to an adult website;
• Spread message of hatred against any individual or group;
• Be offensive in nature or is likely to harass, upset, embarrass, alarm or annoy any other person;
• Have malicious code that is designed to interrupt, damage or limit the functionality of the App;
• Promote or incite racism, bigotry, hatred or physical harm of any kind against any group or individual;
• Infringe any third party’s privacy or intellectual property rights;
• Harm minors or impersonate any other person;
• Constitute or promote information that is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libellous; and
• Involve the transmission of “junk” mail or “spam”.

• You will be responsible and liable for the accuracy and correctness of your content. You must upload, provide or share your content on the App in accordance with the guidelines issued by us in this regard.
• You shall indemnify, defend, release, and hold us and other Account users harmless from any claims made in connection with the use or process of your Content by us or other Account users in accordance with these Terms.
• Our App is a public community wherein you will be visible to all the users located across the globe. It is advisable for you to share your personal or banking information carefully on the App or with others after doing proper due diligence.
• If you intend to display any of your personal or banking information on the App then you will be doing it at your own risk. We will not assume any liability for any loss or damage suffered by you due to the public display of your personal or banking information on our App.
• You represent and warrant to us that:
• You have all necessary rights and licenses to upload, display or share the information on the App;
• You shall comply with the terms and conditions of these Terms and all the applicable laws;
• You are legally qualified to use the App and to comply with these Terms;
• You are not a citizen of any country prohibited by the United States from accessing or using our App;
• Your acceptance of these Terms do not violate the terms of any third party agreements or third party rights (including intellectual property rights).
• You hereby grant us a transferable, irrevocable, non-exclusive, royalty free, worldwide license on perpetual basis to use your content in any way without any restrictions to facilitate you to access and use our app.   Under the license, we are expressly authorized to copy, distribute, display, modify, translate and create derivative works of your content.
• We are at liberty to assign or sub-license your content to our affiliates and successors in relation to these Terms without the necessity of procuring your consent.  We reserve the right to review your content to ensure it is in line with our standard content guidelines and not in violation of these Terms.

• Just like you, other Account users will also share, display or upload their content on the App. You may access and use other Account user's content to the extent permitted by such other Account users. You are strictly prohibited from using the other Account users' content for any unauthorized and illegal purpose or in violation of these Terms.
• If in case you use the other Account user’s content to harass or blackmail them we will terminate your Account with immediate effect. You shall be liable to us and other Account users for the misuse of the other Account users' content in violation of these Terms.

• Other than your and other Account users content, all the content that is displayed, uploaded or made available on the App will be exclusively owned by us and shall be protected by the applicable laws.
• Such content shall include text, content, graphics, user interfaces, trademarks, business or personal logos, sounds, artwork, and other intellectual property appearing on the App. All right, title and interest in and to our content shall remain with us all the times.
• We grant you a non-exclusive, limited, personal, non-transferable and revocable license to access and use our content for the purposes expressly permitted by us. However, you have no right to sublicense our content.
• You are strictly prohibited from accessing and using our content for the following purposes:
• Except as permitted by us, you shall not use, sell, modify, or distribute our content; use our name, trade name, business logos; create derivative works from our content or make a commercial use of our content.

• It is your responsibility to place your real name on your profile and not to use any fake name and identity to create an Account; to access and use the App in a professional manner and to comply with all the applicable laws including privacy laws.
• You agree that you will behave yourself in a dignified manner without indulging in any unlawful, unethical or unprofessional act and shall not harass/stalk any other Account users. Each Account user shall have the right to report a complaint to us about any abuse made by any other Account user and shall block such other Account user.
• We shall investigate into such complaint and suspend or terminate any user Account if it is found out that such complaint is true. If it is found out that the allegations are false and baseless then the complainant account will be terminated with immediate effect.
• You hereby agree and acknowledge that we shall have no control over the content displayed or uploaded by any user and will not assume any liability or responsibility for any of the user content. You hereby agree and acknowledge that you shall be interacting with other Account users at your own risk as we shall not perform any background verification of any Account user.
• You agree to, and hereby do, release us and our successors from any claims, demands, losses, damages,  and actions of any kind, including personal injuries, death and property damage, that either directly or indirectly arises from your interactions with or conduct of other users of the App.
• You are strictly prohibited from altering any features of the App without our express written consent. If you make or attempt to access, use or alter the App in violation of these Terms you will indemnify, defend and hold us harmless from any loss or damage incurred by us due to your access, use of or alteration to the App in violation of these Terms.

• THE APP, SITE, OUR CONTENT, AND USER CONTENT ARE ALL PROVIDED TO YOU ON “AS IS” BASIS AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
• SHOULD ANY APPLICABLE LAW NOT PERMIT THE FOREGOING EXCLUSION OF EXPRESS OR IMPLIED WARRANTIES, THEN WE GRANT THE MINIMUM EXPRESS OR IMPLIED WARRANTY REQUIRED BY THE APPLICABLE LAW. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, SHALL CREATE ANY WARRANTY, REPRESENTATION OR GUARANTEE NOT EXPRESSLY STATED IN THIS SECTION.
• ADDITIONALLY, WE DO NOT MAKE ANY REPRESENTATIONS AND WARRANTIES THAT THE APP OR SITE WILL BE UNINTERRUPTED, SECURE OR ERROR FREE OR THAT YOUR USE OF THE APP OR SITE WILL MEET YOUR EXPECTATIONS, OR THAT THE APP, SITE, OUR CONTENT, ANY USER CONTENT, OR ANY PORTION THEREOF, IS CORRECT, ACCURATE, OR RELIABLE. YOUR USE OF THE APP OR SITE IS AT YOUR OWN RISK.
• YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER ON OUR APP. WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON THE USERS.

• We are not liable to you for any indirect, incidental or exemplary damages, whether in contract, tort or otherwise, for any loss of profits, loss of business, loss of business opportunities, loss of revenue, loss of turnover, loss of reputation or goodwill, any loss or corruption of data or information, loss of anticipated savings or any loss or liability, loss of property and claims of third parties occurred due to your access or use of the App, site, our content, or any user content.
• Excluding any loss or damage incurred by you due to our negligence or misrepresentation, our total aggregate liability in contract, tort otherwise, arising in connection with the performance or contemplated performance of these Terms shall in all circumstances be limited to a sum of $0.
• You hereby waive any and all claims arising out of your use of the App or site. The limitation of liability herein is a fundamental element of the basis of the bargain and reflects a fair allocation of the risk. The App and site would not be provided without such limitations and you agree that the limitations and exclusions of the liability, disclaimers and exclusive remedies specified herein will survive even if found to have failed in their essential purpose.

• You shall indemnify, defend, release, and hold us, and our affiliates, employees, directors, officers, partners, and licensors from and against any and all claims, losses,  damages, liens, judgments, penalties, attorneys’ and consultants’ fees, expenses and/or liabilities arising out of, involving, or in connection with:
• Any of your negligent act or omission or wilful misconduct;
• Your use of the APP, our content and other users content in violation of these Terms and the applicable laws;
• Your act of uploading or submission of any prohibited content on the App;
• Your breach of any third parties agreements and rights including third party intellectual property rights; and
• Your act of misrepresentation or fraud.
• You shall not make any settlement of any infringement claim without our prior written consent. You shall provide all reasonable cooperation and assistance in the settlement of any infringement claim. We reserve the right to initiate and participate in any settlement claim without your consent.
